Contest Terms and Conditions

1. GENERAL

1.1. These are the terms and conditions (“Terms”) for contests organised by Singapore Zoological Gardens, its affiliates and its Related Corporations (“Contest”). For the avoidance of doubt, the term “Related Corporation” in relation to a corporation means the holding company of that corporation, a subsidiary of that corporation, a subsidiary of the holding company of that corporation, or an associated company of that corporation.

1.2. In these Terms, “we”, “us”, “our” or “SZG” refers to Singapore Zoological Gardens, its affiliates and its Related Corporations. “You”, “your” and “participant” refers to any participants in the Contests.

1.3. You acknowledge and agree that the Contest may be governed by additional terms, guidelines and/or rules (“Additional Rules”). These Additional Rules are incorporated by reference into these Terms. For the avoidance of doubt, all references to “Terms” shall include a reference to the “Additional Rules”.

1.4. By participating in this Contest, you acknowledge that you have read and understood, and agreed to abide and be bound by the Terms. If you do not accept these Terms, please do not participate in the Contest.

1.5. We may, upon notice and without liability to any party, vary these Terms or discontinue the Contest, at any time.
 

2. RULES

2.1. Eligibility This Contest is only open to individuals who are local residents of Singapore only.

2.2. Contest Guidelines All entries to the Contest (“Entries”) must comply with the following requirements and any additional requirements as notified to you from time to time:

2.2.1. all Entries must not:

2.2.1.1. violate or infringe the intellectual property rights or other rights of any other person;

2.2.1.2. contain any materials that are inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libellous, offensive and/or unlawful;

2.2.1.3. contain any materials that promote bigotry, racism, hatred or harm against any group or individual or promote discrimination of any kind, illegal activities, any activities that may appear unsafe or dangerous and/or any particular political agenda or message

2.2.1.4. depict SZG in any disparaging manner,

2.2.1.5. contain any materials that have been submitted previously in a promotion or contest of any kind or exhibited or displayed publicly through any means prior to the Contest;

2.2.1.6. contain commercial content or promotions for any products or services; and/or

2.2.1.7. contain any identifiable third party products, trademarks, brands and/or logos, other than those of SZG. Failure to comply with Contest Guidelines will result in immediate disqualification and removal from the Contest.

2.3. Judging Panel The Entries will be judged by our judging panel. The judging panel’s decisions in all matters related to the Contest are final and binding, and no queries, challenges, appeal or correspondence will be entertained.

2.4. Prizes The prizes awarded for this Contest are neither exchangeable for cash nor transferable. We reserve the right to change, add or substitute the prizes, or select another Entry to replace any winning Entry in the event that a particular winning Entry is subsequently disqualified.

2.5. Acceptance of prize Your acceptance of the prize constitutes permission for SZG to use your name and/or likeness for advertising and promotional purposes without additional compensation

2.6. Disqualification If you are in breach of any of these Terms, we reserve the right to disqualify and remove you from this Contest. Our decision on your disqualification and removal from the Contest is final and binding. We do not entertain any queries, challenges, appeal or correspondence pertaining to your disqualification and removal from the Contest.
 

3. RIGHTS AND OWNERSHIP

3.1. By entering this Contest, you agree that all intellectual property rights in Entries submitted shall vest in and be the absolute property of SZG. You warrant that you have the authority to transfer or assign all IPR to SZG, or otherwise vest such IPR in SZG. All IPR capable of vesting in accordance with this Clause 3.1 without the need for any transfer or assignment to be executed by the person generating the same shall vest in SZG by virtue of this Clause 3.1 along without the need for any transfer or assignment. All IPR incapable of vesting in accordance with this Clause 3.1 without the need for a transfer or assignment to be executed by the person generating the same, shall be arranged by you to be vested in SZG. Subject to the provisions herein, you shall not disclose, release or sell to any persons or otherwise deal with the IPR in any manner whatsoever without SZG’s prior written consent.
 

4. MISCELLANEOUS

4.1. You represent and warrant that the Entries do not infringe or violate the rights of any third parties (including but not limited to intellectual property rights).

4.2. By entering the Contest, you agree to release, hold harmless and indemnify SZG for any injury, loss, claim, damage, costs and expenses or any direct, indirect, special exemplary, punitive, incidental or consequential damages of any kind or for any lost profits or lost savings, whether arising from breach of contract, tort (including negligence), equity, strict liability, breach of statutory duty or otherwise, arising as a result of or in connection with your participation in the Contest, your non-compliance with these Terms or any applicable laws and regulations, and/or your violation or infringement of any third party rights.

4.3. Without limiting the generality of the foregoing, SZG is not responsible nor liable for any injury, loss, claim, damage, costs and expenses or any direct, indirect, special exemplary, punitive, incidental or consequential damages of any kind or for any lost profits or lost savings, whether arising from breach of contract, tort (including negligence), equity, strict liability, breach of statutory duty or otherwise, arising as a result of or in connection with the following:

4.3.1. your participation in the Contest;

4.3.2. any delay and/or failure in transmitting or submitting the Entries as a result of (i) any network, system, server, communication or connection failure; and/or (ii) any error, mistake omissions, inaccuracies, interruptions, defects or other problems associated with the network, system or server; and/or

4.3.3. your acceptance, use or misuse of any prize(s) awarded to you.

4.4. These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore and each party hereby irrevocably submits to the non-exclusive jurisdiction of the Singapore courts.

4.5. Apart from SZG’s affiliates and Related Corporations, any person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any term provided in these Terms.

4.6. If any provision in these Terms is invalid or unenforceable under applicable law, that provision shall be enforced to the maximum extent possible, and the remaining provisions will continue in full force and effect.

4.7. Any failure by us to insist upon strict compliance with any term of these Terms shall not be construed as a waiver with regard to any subsequent failure to comply with such term.

4.8. The rights and remedies under these Terms are cumulative and not exclusive of any other right or remedy provided by law or equity.

4.9. You may not transfer or assign any of your contractual rights or obligations without our prior written consent. We may, by notice in writing to you, transfer or assign or novate any of our contractual rights and obligations.
