Contest Terms and Conditions

1. General

1. 1.1. These are the terms and conditions (“T&Cs”) that apply to any and all contests (each, a “Contest”) organised by the Mandai Wildlife Group (or “MWG”, both as defined in the Parks Rules and Conditions found at https://www.mandai.com/en/plan-your-visit/parks-rules-conditions.html.)
2. 1.2. In these Terms, “we”, “us”, or “our” refers to MWG, and “you”, “your” and “participant” refers to participants in the Contest.
3. 1.3. You acknowledge and agree that each Contest may be governed by additional terms and conditions, guidelines and/or rules (the “Additional Rules”). The Additional Rules are incorporated by reference into these T&Cs. For clarity, all references to “T&Cs” shall include a reference to the “Additional Rules”.
4. 1.4. By participating in the Contest, you acknowledge that you have read and understood, and agreed to abide and be bound by these T&Cs. If you do not accept these T&Cs, please do not participate in the Contest.
5. 1.5. We may, upon notice and without liability to any party, vary these T&Cs or discontinue the Contest, at any time, at our own discretion.

2. Rules

1. 2.1. Eligibility
   1. 2.1.1. The Contest is only open to Singapore Residents (as defined in the Park Tickets Terms and Conditions found at (https://www.mandai.com/en/park-terms.html) who are at least 18 years of age;
   2. 2.1.2. MWG's employees and volunteers (as well as the immediate family members of such employees and/or volunteers), and the employees of MWG’s vendors, contractors, and advertising and marketing agencies, are not eligible to participate in the Contest. We reserve the right to determine the persons or any class of persons as being ineligible from time to time, in its sole discretion.
   3. 2.1.3. As a condition of entry into and/or participation in the Contest, you affirm and represent that you are either: (a) 18 years of age and older and agree to be bound in all respects by these T&Cs; or (b) if you are below 18 years of age, you must and will be deemed to have in any event, obtained consent from your parent or legal guardian, your parent’s or legal guardian’s acceptance of these T&Cs and your parent’s or legal guardian’s agreement to take responsibility for your acts and omissions in connection with your entry into the Contest. We shall have the right to require proof of your parent's or legal guardian’s consent at any time.
2. 2.2. Contest Guidelines — All entries to the Contest (“Entries”) must comply with the following requirements and any additional requirements as notified by us to you from time to time (the Contest Guidelines"):
   1. 2.2.1. all Entries must not:
      1. 2.2.1.1. violate or infringe the intellectual property rights (“IPR”) or other rights of any other person or entity;
      2. 2.2.1.2. contain any materials or promote any activities that are inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libellous, threatening, harassing and/or unlawful;
      3. 2.2.1.3. contain any materials that promote bigotry, racism, hatred or harm against any group or individual or promote discrimination of any kind, illegal activities, any activities that may appear unsafe or dangerous and/or any particular political agenda or message;
      4. 2.2.1.4. depict us or anyone in respect of the Contest in any disparaging manner,
      5. 2.2.1.5. contain any materials that have been submitted previously in another promotion or contest of any kind or exhibited or displayed publicly through any means prior to the Contest;
      6. 2.2.1.6. contain commercial content or promotions for any products or services; or
      7. 2.2.1.7. contain any identifiable third-party products, trademarks, brands and/or logos, other than those owned by us.
3. 2.3. Submission — We do not assume any responsibility for any Entry that is incomplete, incomprehensible, unreadable, ineligible, corrupted, misdirected, lost, or delayed, or was unable to be submitted due to technical or transmission failures of any kind or any other reason.
4. 2.4. Judging Panel — The Entries will be judged by our judging panel. The judging panel’s decisions in all matters relating to the Contest, including the selection of the winning entry or entries (each, a “Winning Entry”), are final and binding, and no queries, challenges, appeal or correspondence will be entertained by us or the judging panel.
5. 2.5. Prizes
   1. 2.5.1. Unless stated otherwise, the prizes awarded for the Contest are non-refundable, non-exchangeable for cash, credit, goods or benefits-in-kind, non-transferable and non-extendable in validity. There shall be no refund, transfer, exchange or extension for any partially used or unused prize. We reserve the right to change, add or substitute the prizes, or select another entry to replace any Winning Entry in the event that a particular participant and/or Winning Entry is subsequently disqualified, in our sole discretion without any prior notice.
   2. 2.5.2. All prizes must be claimed in the manner and by the date notified by us, which may be changed at our sole discretion without prior notice.
   3. 2.5.3. As a condition to the award and collection of the prizes, you shall provide proof of identity, age and local residency and such other documents as we may reasonably require. If you are unable to provide satisfactory proof, you shall be deemed to have forfeited the prize.
   4. 2.5.4. Further terms and conditions may apply in respect of the prizes.
6. 2.6. Acceptance of prize — Your acceptance of the prize constitutes permission for us to use your name and/or likeness for advertising and promotional purposes without additional compensation to you./li>
7. 2.7. Disqualification — If you are in breach of these T&Cs, which shall be determined in our sole discretion, we reserve the right to disqualify and remove you from the Contest. Our decision on your disqualification and removal from the Contest is final and binding. We will not entertain any queries, challenges, appeal or correspondence pertaining to your disqualification and removal from the Contest.

3. Rights and Ownership

1. 3.1. By entering the Contest, you agree that all IPR in your Entry shall vest in and be our absolute property. You warrant that you have the authority to transfer or assign all IPR to us, or otherwise vest such IPR in us. All IPR capable of vesting in accordance with this Clause, without the need for any transfer or assignment to be executed by the person generating the same, shall vest in us by virtue of this Clause along without the need for any transfer or assignment. All IPR incapable of vesting in accordance with this Clause without the need for a transfer or assignment to be executed by the person generating the same, shall be arranged by you to be vested in us. Subject to the provisions herein, you shall not disclose, release or sell to any persons or otherwise deal with the IPR in any manner whatsoever without our prior written consent.
2. 3.2. Any personal data (as defined in the Personal Data Protection Act 2012) that you provide to us is subject to our Personal Data Protection Policy (available at https://www.mandai.com/en/saving-wildlife/our-policies/data-protection.html), which is incorporated by reference into these T&Cs. For clarity, all personal data provided to us for the purposes of the Contest will be used by us for the purposes of administering the Contest only.

4. Miscellaneous

1. 4.1 You represent and warrant that the Entries do not infringe or violate the rights of any third parties (including but not limited to IPR).
2. 4.2. By entering into and/or participating in the Contest, and/or by accepting any prizes, as the case may be, save to the extent permitted by law, you agree to release, discharge, hold harmless and indemnify us for any injury, loss, claim, damage, costs and expenses or any direct, indirect, special exemplary, punitive, incidental or consequential damages of any kind or for any lost profits or lost savings, whether arising from breach of contract, tort (including negligence), equity, strict liability, breach of statutory duty or otherwise, arising as a result of or in connection with (a) your entry into and/or participation in the Contest, (b) your non-compliance with these T&Cs or any applicable laws and regulations, (c) the violation or infringement of any third party rights, or (d) the use or acceptance of any prizes.
3. 4.3. Without limiting the generality of the foregoing, save to the extent permitted by law, we are not responsible nor liable for any injury, loss, claim, damage, costs and expenses or any direct, indirect, special exemplary, punitive, incidental or consequential damages of any kind or for any lost profits or lost savings, whether arising from breach of contract, tort (including negligence), equity, strict liability, breach of statutory duty or otherwise, arising as a result of or in connection with the following:
   1. 4.3.1. your participation in the Contest;
   2. 4.3.2. any delay and/or failure in transmitting or submitting the Entries as a result of (i) any network, system, server, communication or connection failure; and/or (ii) any error, mistake, omissions, inaccuracies, interruptions, defects or other problems associated with the network, system or server; and/or
   3. 4.3.3. your acceptance, use or misuse of any prizes awarded to you.
4. 4.4. All decisions made by us regarding the interpretation and application of these T&Cs or on all matters relating to the Contest shall be final and conclusive in each case. No correspondence or appeals will be entertained.
5. 4.5. These T&Cs shall be governed by and construed in accordance with the laws of the Republic of Singapore and each party hereby irrevocably submits to the non-exclusive jurisdiction of the Singapore courts.
6. 4.6. Apart from us, any person who is not a party to these T&Cs has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term provided in these T&Cs.
7. 4.7. If any provision in these T&Cs is invalid or unenforceable under applicable law, that provision shall be enforced to the maximum extent possible, and the remaining provisions will continue in full force and effect.
8. 4.8. Any failure by us to insist upon strict compliance with any term of these T&Cs shall not be construed as a waiver with regard to any subsequent failure to comply with such term.
9. 4.9. The rights and remedies under these T&Cs are cumulative and not exclusive of any other right or remedy provided by law or equity.
10. 4.10. You may not transfer or assign any of your contractual rights or obligations without our prior written consent. We may, by notice in writing to you, transfer or assign or novate any of our contractual rights and obligations.
